Website Rental Agreement

This Website Rental Agreement (“Agreement”) is between Estar Media (Pty) Ltd, trading as Estar Web Design, of Hout Bay, Cape Town (“Estar”, “we”, “us”), and the person or business placing the order (“Client”, “you”). By ticking the acceptance box at checkout and completing payment, you confirm that you have read, understood and agree to this Agreement, and that you are authorised to accept it on behalf of your business.

1. The service

1.1 Estar will design, build, host and maintain a website for the Client (“Rented Website”) according to the rental plan selected at checkout (One-Page, Starter, Business or Online Shop).

1.2 Each plan includes: website design and build; South African hosting; an SSL certificate; daily backups; professional email on the Client’s domain; WordPress, theme and plugin updates; security monitoring; and local support during business hours (Monday to Friday, 9am to 5pm).

1.3 Each plan includes 30 minutes of content changes per month (for example text, image or price updates). Unused time does not carry over to the next month. Additional work, new pages, new features or redesigns are quoted separately.

1.4 The Online Shop plan is for selling within South Africa. International delivery, multiple languages and currency conversion are quoted separately.

2. Getting started

2.1 Work starts once the first month’s fee has been paid and the Client has supplied the content needed (text, logo, images and business details).

2.2 Estar aims to launch the Rented Website within 2–3 weeks of receiving complete content. Delays in supplying content or feedback may extend this timeline but do not delay the start of billing.

3. Fees and payment

3.1 The monthly fee is the amount shown for the selected plan at the time of purchase. The first month is paid online at checkout. Thereafter the fee is payable monthly in advance by debit order or EFT against an invoice.

3.2 There is no setup fee. Domain registration and renewal are not included and are charged separately where Estar manages the domain.

3.3 The monthly fee is fixed for the full minimum term. After the minimum term has ended, the monthly fee will increase by 5% once every 12 months. Estar will give the Client at least 30 days’ written notice of each increase.

3.4 If a payment is more than 7 days overdue, Estar may suspend the Rented Website and email until the account is brought up to date. If a payment is more than 30 days overdue, Estar may terminate this Agreement in terms of clause 5.4.

4. Term

4.1 Minimum term: the One-Page plan has a minimum term of 12 months. The Starter, Business and Online Shop plans have a minimum term of 24 months. The minimum term starts on the date of the first payment.

4.2 After the minimum term, this Agreement continues month to month until cancelled by either party with 30 days’ written notice.

5. Cancellation

5.1 After the minimum term, the Client may cancel on 30 days’ written notice to [email protected].

5.2 If the Client cancels before the end of the minimum term, the monthly fees for the remainder of the minimum term become due.

5.3 Plans may be upgraded at any time. Downgrades are only possible after the minimum term.

5.4 Estar may terminate this Agreement if the Client fails to pay as set out in clause 3.4, breaches clause 7, or uses the service unlawfully.

5.5 When the Agreement ends, the Rented Website is taken offline. Estar will help the Client move their domain and email to another provider.

6. Ownership

6.1 This is a rental service. The website design, layout, theme, code, licensed plugins and other materials created or supplied by Estar remain the property of Estar (or its licensors) and are licensed to the Client only for the duration of this Agreement. No buy-out of the Rented Website is included. If the Client prefers to own a website outright, Estar’s once-off web design packages are available.

6.2 The Client retains ownership of all content they supply, including text, logos, photos and product information. On request at the end of the Agreement, Estar will supply a copy of this content.

6.3 The Client’s domain name is registered in the Client’s name and remains the Client’s property.

7. Client responsibilities

7.1 The Client warrants that all content they supply is accurate, lawful and does not infringe anyone else’s rights, and that they hold the right to use it.

7.2 The Client may not use the Rented Website or hosting for unlawful content, spam, malware, or anything that harms Estar’s servers or other clients.

7.3 The Client is responsible for their own legal compliance, including the Consumer Protection Act and POPIA where they collect personal information through their website or shop.

8. Availability and liability

8.1 Estar will use reasonable efforts to keep the Rented Website available and secure, but does not guarantee uninterrupted or error-free operation. Planned maintenance will be done outside business hours where possible.

8.2 To the extent permitted by law, Estar’s total liability under this Agreement is limited to the fees paid by the Client in the three months before the event giving rise to the claim. Estar is not liable for indirect or consequential loss, including loss of profit or data, except where caused by Estar’s gross negligence.

9. Privacy

9.1 Estar processes the Client’s personal information only to provide the service and to bill for it, in line with the Protection of Personal Information Act (POPIA).

10. General

10.1 This Agreement is governed by the laws of the Republic of South Africa.

10.2 Notices may be given by email: to Estar at [email protected], and to the Client at the email address used for the order.

10.3 Estar may update this Agreement for new orders. Changes for existing clients take effect only with 30 days’ notice, and never shorten or lengthen an existing minimum term.

10.4 Acceptance of this Agreement at checkout is recorded with the date, time, IP address and agreement version, and is stored with the order.
